PT PMA land ownership works differently from what the phrase suggests: a foreign-owned Indonesian company can hold land, but never as freehold. The title for a factory or warehouse is Hak Guna Bangunan, a building right with a defined term, and what you actually hold depends on what sits underneath — state land, an estate’s management right, or private freehold. Those three read identically on the certificate and behave very differently at renewal.
Below: which rights are open to you, how long they run, and two widely repeated claims that are no longer true.
A PT PMA cannot hold Hak Milik. Anything marketed as freehold is either mislabelled or a nominee structure, which is void in law.
HGB runs 30 years, extendable by 20 and renewable by 30 — but as three sequential stages, never as one grant.
Over private Hak Milik land there is no extension at all, only a fresh deed the owner must agree to.
Paid-up capital for a PT PMA fell from IDR 10 billion to IDR 2.5 billion in October 2025.
The minimum investment threshold did not change: above IDR 10 billion per five-digit business code per project location.
What a PT PMA can and cannot hold
Hak Milik — freehold — is reserved to Indonesian individuals, plus four narrow classes of entity designated in 1963: state banks, agricultural cooperatives, and certain religious and social bodies. A commercial company is not among them, foreign-owned or not.
What it can hold is the set of rights open to Indonesian legal entities: Hak Guna Usaha for agriculture, Hak Guna Bangunan for buildings, Hak Pakai for defined use. This is not a foreign-investor restriction as such — a wholly domestic PT faces the same limit. Be wary of any offer described as freehold through a company: the structure behind it is usually a nominee arrangement, which Indonesian law does not recognise.
HGB land title in Indonesia: the industrial default
HGB is a right to erect and own buildings on land belonging to someone else — the state, an estate operator, or a private owner. For industry it is the practical default, and it carries obligations: within two years the holder must begin development or otherwise put the land to its designated use, with non-compliance a ground for termination, as is classification as abandoned land.
The structure is 30 years, then up to 20, then up to 30. Two details matter more than the headline. Extension is applied for once the land is in use and at the latest before expiry; renewal within two years after expiry. And the former holder now has a conditional priority to be granted the land again — introduced in 2021, subject to tests including continued conforming use and spatial-plan conformity.
HGB over HPL is a different asset from HGB over state land
Inside an industrial estate, the estate company typically holds the management right and grants HGB to tenants over it. That relationship runs through a land utilisation agreement, and it is the agreement — not the certificate — that determines your position.
The estate sets the tariff and annual charge through it, within a formula set by the ministry. Transferring or mortgaging your HGB needs the management-right holder’s written consent under that agreement; extension and renewal need their written recommendation. When the term ends without renewal the land reverts to the estate, and the fate of buildings you paid for is contractual — where the agreement is silent, it rarely favours the outgoing holder.
A third case is worth naming. HGB over private Hak Milik land gets 30 years with no extension mechanism — renewal needs a fresh deed before a land deed official, so the underlying freeholder must agree again on whatever terms apply then. Materially weaker than either other case, and not obvious from the certificate.
Diligence order follows: read the utilisation agreement before the certificate, and settle what the HGB sits over before the price conversation — alongside the checks in land due diligence.
The 80 years is real, but it is never granted upfront
You will see 80 years quoted as an incentive — for strategic investment, in a special economic zone, or in the new capital. Treat any offer of 80 years as one grant as a red flag.
The Constitutional Court struck that down in 2008, removing the investment-law provision allowing rights to be granted and extended upfront in one act. It did so again in November 2025, reviewing provisions that granted land rights in the new capital across two cycles — up to 190 years for HGU, 160 for HGB — and reformulating them back to standard staged terms with evaluation at each stage.
So 80 years is the ceiling on a single chain of rights, arriving as 30, then 20, then 30, with a compliance gate each time — not a cap on how long a company can occupy a plot, given the priority route above. A special economic zone offers faster land servicing and a different tax position; it does not lengthen tenure or front-load it.
PT PMA requirements in Indonesia changed in October 2025
This is where most published guidance is now wrong. A new investment ministry regulation took effect in early October 2025, revoking the 2021 rules nearly every guide still cites.
Paid-up capital fell to IDR 2.5 billion per company, from IDR 10 billion — a substantial change to entry economics, still widely misreported.
The minimum investment threshold did not change. It remains more than IDR 10 billion per five-digit business classification code per project location — note “more than”, so exactly ten billion does not qualify. Land and buildings are excluded for most sectors but counted for property, accommodation and agriculture, so check where your activity sits. Wholesale trade and construction services are assessed per four-digit code, food and beverage per two-digit code per regency or city.
A new lock-up applies. Paid-up capital must stay in the company account for twelve months from deposit, with carve-outs for asset purchases, construction and operating costs. Budget for it.
One more thing to check rather than assume: business classification codes moved to the 2025 edition, and because the threshold is tested per code, the conversion affects how your activity is assessed. Sector openness still runs off the 2021 positive investment list, in force at the time of writing.
Setting up a PT PMA in Indonesia: the sequence
Reserve the name, execute the deed of establishment before a notary, obtain the ministry’s electronic legal entity approval, then register through the risk-based online system, which issues the business identification number and tax registration together. Capital is declared at incorporation and deposited once the bank account opens. Risk-tiered licences follow, alongside KKPR, the spatial approval for the site.
Ignore any guide mentioning Izin Prinsip, a domicile letter, TDP or IUT. All four were abolished years ago, and their presence signals a page that has not been updated. Practitioners quote a couple of weeks for the deed and approval — an estimate, not a service standard.
Where PT PMA land ownership goes wrong
Believing a freehold structure exists. It does not, and the usual workaround is void.
Reading the certificate but not the agreement. On estate land it governs charges, transfer, mortgage and renewal.
Assuming HGB over private land behaves like HGB over state land. No extension — only a fresh deed the owner must sign.
Budgeting from an outdated capital figure. The paid-up requirement changed in October 2025, in the investor’s favour.
Leaving zoning out of the tenure question. A valid HGB on wrongly-zoned land is unusable. Weigh it against industrial parks in Indonesia, their estate facilities and port access when you compare established estates. Conditions differ across Cikarang, Karawang, Bekasi, Kendal, Batang, Batam and East Java.
Frequently asked questions
Can a PT PMA own land in Indonesia?
It can hold land, but not as freehold. Hak Milik is reserved to Indonesian individuals and four narrow entity classes. A PT PMA holds HGB, HGU or Hak Pakai — for industry, almost always HGB.
How long does HGB last?
Up to 30 years, extendable by up to 20 and renewable by up to 30, over state land or an estate’s management right. Over private Hak Milik land it is 30 years with renewal by fresh deed only, and no extension mechanism.
Is it true that foreign investors can get 80 years upfront?
No. Eighty years is cumulative, not a single grant. The Constitutional Court removed upfront grants in 2008 and rejected the two-cycle version in the new capital law in November 2025.
What capital does a PT PMA need?
Since early October 2025, paid-up capital of IDR 2.5 billion per company, down from IDR 10 billion. Separately, planned investment must exceed IDR 10 billion per five-digit business code per location, and the capital must stay in the company account for twelve months.
What is the difference between HGB over state land and HGB over HPL?
The term structure reads the same, but over a management right the estate sets charges, and transfer, mortgage, extension and renewal all need its sign-off. The utilisation agreement, not the certificate, defines your position.
Is “sertifikat tanah industri” a separate kind of certificate?
No. There is no industrial land title in Indonesian law. It means an HGB certificate over land zoned for industry — two separate things to verify: the title, and the zoning plus spatial approval.
What happens when HGB expires?
The right lapses and the land reverts to the state, the estate, or the private owner. A former holder has a conditional priority to be granted it again, subject to tests including continued conforming use — a protection, not an automatic renewal.
Where to go from here
Before committing to a site, settle two questions: what the HGB sits over, and what the utilisation agreement says about renewal and transfer. Both are answerable before you offer, and harder to fix afterwards. If you want to see what is available across the main regions, Yardzeal lists industrial land in Indonesia alongside commercial land and built facilities. Have a look at the current listings, or send us a specification and we will tell you what matches.
